Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On August 8, 2022, Steel Connect, Inc. (the “Company”) received a written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) indicating that the Company was not in compliance with Listing Rule 5620(a) (the “Annual Shareholders Meeting Rule”), which requires the Company to hold an annual meeting of shareholders within 12 months of the end of the Company’s fiscal year end for continued listing on the Nasdaq Capital Market (“Nasdaq”). The Notice is only a notification of deficiency, not of imminent delisting, and has no current effect on the listing or trading of the Company’s securities on the Nasdaq. Pursuant to Nasdaq Listing Rule 5810(c)(2)(G), the Notice states that the Company has 45 calendar days, or until September 22, 2022, to submit a plan to regain compliance with the Annual Shareholders Meeting Rule. The Company intends to submit a plan to regain compliance with the Annual Shareholders Meeting Rule within the required timeframe. After considering the Company’s plan, Nasdaq may grant the Company an exception of up to 180 calendar days from the fiscal year end, or until January 27, 2023, to regain compliance. There can be no assurance that Nasdaq will accept the Company’s plan or that the Company will be able to regain compliance with the Annual Shareholders Meeting Requirement or maintain compliance with any other Nasdaq requirement in the future.

 

The Company has delayed the holding of its annual meeting of stockholders due to the pendency of its previously-announced entry into a definitive merger agreement. As previously disclosed, on June 12, 2022, the Company entered into an Agreement and Plan of Merger, by and among the Company, Steel Partners Holdings L.P., a Delaware limited partnership (“Parent” or “Steel Partners”), and SP Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub” and, together with Parent, the “Parent Parties”), pursuant to which Merger Sub will be merged with and into the Company, with the Company continuing as the surviving entity and becoming a wholly owned subsidiary of Parent (the “Merger”). The Company expects the Merger to close in the second half of 2022, subject to approval by the Company’s stockholders and the satisfaction of applicable closing conditions. The Company will call a meeting of its stockholders for the purpose of voting on the adoption of the merger agreement in due course, following the filing of the definitive proxy statement for such meeting. Upon closing of the Merger, the Company’s common stock will no longer be listed on Nasdaq and the Company will be a wholly owned subsidiary of Parent.
